Section A - Requirements for membership
Requirements for joining & participation in the Aphrohead Advanced program:
Please note that we reserve the right to reject shipments & or terminate the agreement if the printed RRP on books differs from the data supplied by yourselves. Any changes to RRP's must be reflected in the data we will request from you after the application process and on an ongoing basis immediately via email or ftp data transfer. We will also ask that you identify for us whether the books are being submitted for the "General Trade" program or the "Educational & Professional" program. The amount we will pay for each title will only be the price that we have the latest data for which you supply, so it is essential that we are notified immediately of any changes. The discount applied will be the applicable discount for the program you selected each title to be part of at the time of program application.
Please also note that for the avoidance of any doubt, you must notify us directly and immediately in writing of any changes to the Specified Price of your Titles. The amount we pay you for each Title is calculated using only the latest Specified Price of which you have notified us and the specified program, and no other price. In the event of titles being moved from the "General Trade" program to the "Educational & Professional" program or vice versa, the price we pay will be split between books dispatched before we were notified of the change & books after this. Titles included in the "Educational & Professional" discount plan must be clearly targeted for a professional or educational audience & must not fall under the definition of general trade titles.
- You must hold the UK distribution rights to any titles that you wish to enroll for the program.
- All participants must be able to supply orders to us at our stated warehouse location in the UK.
- All titles must be new & unused, Aphrohead Advanced is only for publishers/distributors selling new titles, No damaged, second hand or defective books are accepted by the program.
- All books in the program must have an ISBN number printed on the book and a scannable barcode which matches. Learn more about ISBNs.

Section B - Initial 1st order
After approval of application Aphrohead will contact you to arrange an initial 1st order:

We will initially require from you an initial data load of all titles that you wish to include in the program in the following example CSV format. This can be sent to us via email or ftp.

9781841466569,EP,9.99,0,9.99 - Upon receipt of this data Aphrohead will email our 1st order within 48 hours, Aphrohead will use its only existing sales data to determine a stock level which we feel would be beneficial for both parties. If required this initial order can be modified to your requirements if you feel that you are unable to commit a large amount of inventory or want to trail the program initially.
Section C - Usual order handling procedures for stockholding
Usual operational handling of orders for stockholding:
Aphrohead recommend that all shipments are sent via a traceable method & to insure all shipments to us. In the event of the above information being unavailable Aphrohead will not pay any compensation. In all circumstances the extent of Aphrohead's compensation amount will not exceed the proceeding three months invoice value.
Please do not send more Copies than we request. Any excess Copies will be returned to you at your cost. Please see the Membership Agreement for details.
All orders must be sent carriage paid for domestic orders & CIF for overseas shipments. All applicable VAT, duties and all other charges must be paid by yourselves. In the event of the above conditions not being met, Aphrohead reserve the right to refuse the shipment and apply a handling fee for the costs of doing so or arrange to keep the shipment but charge a handling fee which covers our incurred costs.
- Weekly, bi-weekly, monthly or as it deems fit, Aphrohead will email new orders for replenishment of supplied stock.
- Aphrohead will send via email orders which will be listed using the ISBN of the titles we wish to order. This data will be in both the email text & on an attached csv file and/or available from an ftp server depending upon volume. This file will detail which delivery location is to be used and also the ISBN, quantity of each title required & order-id for the order.
- Full delivery details will be included with each order, including the UK warehouse address we require the order to be delivered to. Please note that all deliveries must be marked for the Attention of "Aphrohead Advanced" as part of the delivery address. Failure to do this will result in delays to the booking in & acceptance of your titles.
- Upon dispatch of our order we will require you to confirm the order via return email & in the event of a problem with any titles on the order inform us of this on the return email. Failure to do this may result in delays in the booking in of your stock.
- Warehouse delivery address
- Name of receiver (signatory) at our warehouse
- Carriers tracking ID number
- Weight of the shipment (and/or missing part) as is delivered to the stated warehouse.

Section D - Payments & Terms Information
Getting paid when titles are sold & our terms of payment:
Non VAT Applicable Sales.
VAT Applicable Sales.
- All payments are made in GBP (Pounds Sterling) to the nominated UK bank account at the time of account application.
- You will be responsible for ensuring that all applicable VAT and/or other taxes, duties or other duties are invoiced correctly to Aphrohead Ltd and also must understand that Aphrohead are not obliged to undertakes this ourselves.
- Dependent upon there being a VAT element, we have 2 different procedures for paying you when sales are made.
Non VAT Applicable Sales.
- Please note that this procedure applies to sales period where 100% of sales have no VAT element to calculate.
- All sold titles will be detailed on our monthly sales reports along with a payment due amount.
- The monthly sales reports are issued between the 7th & 10th of each month for the preceding month. In the event of no VAT being due a BACS payment will be made by the 15th of the month into your nominated account for the payment due amount stated on the sales report.
VAT Applicable Sales.
- If any part of the preceding months sales contains titles with a VAT element due the following procedure will apply.
- All sold titles will be detailed on our monthly sales reports along with a payment due amount.
- The monthly sales reports are issued between the 7th & 10th of each month for the preceding month.
- The supplier will be required to invoice us using the data contained in the sales report and stating the applicable VAT due.
- Invoices should include:
1. Our Company name - Aphrohead Ltd

4. Our Company registration number - 05376982 - Invoices once generated need to be mailed to us at the following address.

Terms
- Aphrohead Advanced program participants are only paid once we have made a customer sale. The price that we pay you is determined by applying the applicable discount rate (GT or EP)* stated in your data which you have supplied us with.
- A tiered structure exists on each rate so that the rate given to us reduces with higher sales volume of your titles which we sell. Our discount structure for the two rates is as follows:

Section E - Other notes & miscellaneous information.
- Please note that the rules & procedures outlined above are at all times subject to the terms in our membership agreement. Your participation in the Aphrohead Advanced program signals your acceptance of these terms. In the event of a conflict between the above rules & procedures and the membership agreement the membership agreement will prevail.
- Aphrohead may change the terms, procedures & membership agreement from time to time. In the event of a dispute or issue the applicable membership agreement and/or operating rules & procedures in place at the time of the dispute will govern
- Data supply: participation the Aphrohead Advanced program signals your acceptance that you are responsible for any data errors in data supplied to us.
- Communication: As an online Company, Aphrohead requires all communication relating to the accounts operation to be via email to the address stated after acceptance of the program application. Contact details for Aphrohead will be supplied upon acceptance of new applications.
